Anti-Corruption Policy

This policy is to be mandatory observed by all the Counterparties upon coming into contractual relations with Synergy Research Group.

This policy shall not extend on persons that are in a labor relationship with Synergy Research Group.

In accordance with this policy the term “the Counterparty” shall mean any individual or legal entity as well as any other law entity legally empowered to effect deals or come into contractual relations.

The Counterparty hereby declares that in connection with performing its contractual obligations to Synergy Research Group the Counterparty shall not promise, permit, approve, propose, effect in any form a payment or material values delivery or in any form (directly or circumstantial) assist in making payments or delivery of material values to: (a) any individual including officials (as defined below) or (b) a mediator for the purposes of making payment to any individual, including officials or (c) any political party.

The Parties declare that they intent to obtain that neither payment or material values delivery shall be made, promised, permitted, proposed for the purposes of or shall result in a bribery or corrupt business practices, blackmailing offences, grafts or other illegal actions or improper means of obtaining any gain or advantages as well as nor actions that could be recognized as a connivance for violating the aforementioned bans shall be performed.

In the context of this paragraph the term “official” shall mean: (a) any public officer or public servant of governmental authorities or any public institution, government facility or agency; (b) any person acting within the frames of its official duties on behalf of governmental authorities or any public institution, government facility or agency; (c) any officer or employee of an organization, an enterprise, an institution wholly or partly owned by public authorities (d) any officer or employee of an international public organization, for instance, the World Bank or United Nations (e) any officer or a member of a political party and/or (f) any candidate for public office.

The Counterparty hereby declares that at the moment to the best of Counterparty’s knowledge competent authorities do not prosecute an inquiry on a charge of infringement of the law with regard to corruption or fraud.

The Counterparty declares that except where otherwise agreed in written the Counterparty do not have any interest that directly or circumstantial prevent the Counterparty from fulfillment its contractual obligations to Synergy with due care and with observance of high moral and ethics standards.
